CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

PROGRAM TITLE: The Most Mystical House in Brooklyn

Children’s TV Show Development Project

I, the undersigned, hereby agree, in connection with the television show concept and television program listed above (“Mischievous Goddess”), that my  engagement in connection with the Program (if any) and my acceptance of certain materials is conditioned on and  subject to my adherence to the following confidentiality and non-disclosure requirements: 

​

a. I will not directly or indirectly disclose or reveal to any person or entity (including, without limitation, to any individual or entity, including but not limited to: any member  of the press, on blogs, social networks, live streaming apps, websites or the internet) any Confidential  Information received by me relating to the Program, under any circumstances. Confidential Information includes but is not limited to: information relating  to or concerning the Program, or any of its affiliates (collectively, “Company”); the Program’s script or  plot, or any elements thereof; any private information about the cast, crew and any other persons; or any  other information learned in connection with the Program about content developed or created by Company, and/or relating to Company’s business practices, procedures and creative materials.

b. I will take appropriate measures to safeguard any Confidential Information disclosed and/or made available  to me in connection with the Program, including but not limited to password protecting computers and mobile  devices which carry Confidential Information, and never leaving property (including computers and mobile devices) containing Confidential Information unattended. 

 

I understand and agree that any breach or attempted breach of the foregoing representations shall constitute a breach  of this Confidentiality and Non-disclosure Agreement and will cause Company irreparable harm, not readily measurable  in money. I further understand and agree that the Company shall have the right to take all other measures necessary to  protect its rights, including without limitation, the right to seek civil and criminal penalties and that the Company shall  have the right to all other remedies at law and in equity, including injunctive relief and/or monetary damages.
